Standard conditions for export orders of aluminium foil rolls. Where a signed contract or proforma invoice states different terms, that document prevails.
Quotations are valid for 15 days unless stated otherwise. Foil is priced against the LME aluminium base and the USD exchange rate; for orders confirmed more than 30 days after quotation, the base may be re-fixed and the difference passed through, up or down.
One 20ft container, or the mill minimum run of 3–5 tonnes per specification, whichever is greater. Mixed loads are accepted where each SKU meets the minimum run.
An order is binding when the proforma invoice is signed and the deposit received. Artwork for printed packing must be approved in writing before production; approval transfers responsibility for spelling, colour references and regulatory wording on the pack to the buyer.
Standard terms: 30% deposit by T/T, balance against a copy of the bill of lading. Other arrangements, including letters of credit, are agreed per order. Bank charges outside China are for the buyer's account.
Goods are supplied to the tolerances stated on our quality page and in the signed specification sheet: thickness ±3%, slit width ±1 mm, length +2%/−0%, core ID ±0.5 mm. These are not defects.
Lead times run from deposit and artwork approval, not from the enquiry date. Stated dates are estimates made in good faith; delays caused by power restrictions, holidays, port congestion, shipping-space shortages or force majeure are not grounds for penalties unless a separate written agreement says so.
Buyers are asked to inspect on arrival. Claims for quantity, packing damage or specification deviation must reach us within 14 days of container unloading, with photographs and the roll or carton identification. We will replace, credit or refund at our option after verification. Claims for foil already converted, printed or sold to a third party cannot be accepted.
Risk passes according to the agreed Incoterm. Title passes when payment is received in full.
The buyer is responsible for confirming that the goods may lawfully be imported into the destination market, including anti-dumping or countervailing duties, labelling rules and food-contact registration. We disclose known trade measures in writing where we are aware of them; we do not indemnify the buyer against duties imposed on Chinese origin.
These terms are governed by the laws of the People's Republic of China. Disputes are referred to the Zhengzhou Arbitration Commission, or to the competent court in Henan where arbitration is not agreed. The United Nations Convention on Contracts for the International Sale of Goods applies.
These terms are published in English. A Chinese version is available on request; in case of conflict, the version in the signed contract prevails.
